Terms and Conditions – A’Designs (Ontario)

1. Scope of Services:
   • A’Designs, an Ontario-based web design agency, offers services including web design, branding, and related digital solutions as agreed upon with the client.
2. Client Responsibilities:
   • The client agrees to provide accurate and timely information, materials, and approvals necessary for project commencement and completion.
   • The client is responsible for obtaining any necessary permissions, licenses, or rights for materials used in the project, including text, images, and other content.
3. Payment Terms:
   • Payment terms, including deposit requirements and milestones, will be outlined in the project proposal and agreed upon by both parties.
   • A’Designs reserves the right to suspend or terminate services if payment is not received according to the agreed terms.
4. Intellectual Property:
   • A’Designs retains ownership of all original design concepts, materials, and code created during the project, unless otherwise agreed upon in writing.
   • Upon full payment, the client will receive a non-exclusive license to use the final design for its intended purpose.
5. Confidentiality:
   • Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the project, including but not limited to trade secrets, client data, and project details.
6. Project Timeline:
   • A’Designs will make reasonable efforts to adhere to the agreed-upon project timeline, but cannot be held liable for delays caused by factors beyond our control, including but not limited to client delays, third-party delays, or acts of nature.
7. Revisions and Changes:
   • The client is entitled to a specified number of revisions as outlined in the project proposal.
   • Additional revisions or changes beyond the agreed scope may be subject to additional fees and will be mutually agreed upon by both parties.
8. Termination:
   • Either party may terminate the project with written notice if the other party breaches the terms of the agreement.
   • In the event of termination, the client is responsible for payment for work completed up to the termination date, as well as any applicable cancellation fees.
9. Limitation of Liability:
   • A’Designs shall not be liable for any indirect, incidental, or consequential damages arising from the use of our services, including but not limited to loss of profits, loss of data, or business interruption.
10. Governing Law:
    • These terms and conditions shall be governed by and construed in accordance with the laws of the province of Ontario, Canada.
